Terms of Service
1. Acceptance of Terms
By accessing or using the Reform Listing platform — including the website at reformlisting.com, any associated mobile applications, and the Ada AI voice assistant (collectively, the "Platform") — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately stop using the Platform.
These Terms apply to all users of the Platform, including visitors, registered buyers, registered sellers, and agents.
2. About Reform Listing
Reform Listing is a property technology platform that connects individuals and businesses looking to buy, rent, or lease residential, commercial, and land properties in Nigeria with sellers, agents, and developers who list those properties. Reform Listing is not a real estate agency, broker, developer, or financial institution. We provide a marketplace and do not represent any party in any property transaction.
3. Eligibility
You must be at least 18 years of age to create an account or use the Platform. By creating an account, you represent and warrant that:
- You are at least 18 years old.
- You have the legal capacity to enter into binding agreements.
- The information you provide during registration is accurate, current, and complete.
- You are not barred from using the Platform under any applicable law.
4. User Accounts
4.1 Registration
To access certain features of the Platform, you must create an account. You agree to provide accurate information and to keep it updated.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at josephogiku96@gmail.com if you suspect any unauthorised use of your account. Reform Listing is not liable for any loss resulting from unauthorised access to your account.
4.3 Account Types
The Platform supports the following account types:
- Buyer Account — For individuals searching for properties to buy, rent, or shortlet.
- Seller/Agent Account — For individuals or businesses listing properties for sale, rent, or shortlet. Subject to the Agent & Seller Agreement.
- Agency Account — For brokerages and developer organisations managing multiple agent seats.
5. Use of the Platform
5.1 Permitted Use
You may use the Platform to search for properties, list properties (if registered as a seller or agent), make enquiries, request viewings, submit offers, and access paid platform services.
5.2 Prohibited Conduct
You agree not to:
- Post false, misleading, or fraudulent listings or information.
- Impersonate any person or entity.
- Use the Platform to harass, threaten, or defraud other users.
- Scrape, crawl, or systematically extract data from the Platform without written permission.
- Attempt to gain unauthorised access to any part of the Platform or its systems.
- Use the Platform for any unlawful purpose or in violation of any applicable Nigerian law.
- Post listings for properties you do not own or have authority to list.
- Circumvent any payment or subscription system of the Platform.
Reform Listing reserves the right to suspend or permanently terminate any account found in violation of these rules without notice or refund.
6. Property Listings
6.1 Third-Party Listings
All property listings on the Platform are submitted by sellers, agents, and developers who are independent third parties. Reform Listing does not own, control, manage, or directly verify the properties listed. We are not a party to any transaction between buyers and sellers.
6.2 Listing Accuracy
Sellers and agents are solely responsible for the accuracy, completeness, and legality of their listings. Reform Listing makes no representations or warranties as to the accuracy, title status, physical condition, legal standing, or availability of any property listed on the Platform.
6.3 Internal Review Markers
Reform Listing may, at its sole discretion, apply internal review indicators to certain listings following an internal administrative review process. Such indicators are for informational purposes only and do not constitute a guarantee, endorsement, certification, or warranty of any kind regarding the property, its title, its physical condition, or the seller's identity. Users must not rely on any such indicator as a substitute for independent legal and physical due diligence.
6.4 User Responsibility
Before entering into any property transaction, users are strongly advised to:
- Engage a qualified Nigerian lawyer to conduct a title search and verify land documents.
- Conduct a physical inspection of the property.
- Verify the identity and authority of the seller or agent independently.
- Consult with a licensed surveyor and valuer where appropriate.
Reform Listing accepts no liability for any loss, damage, or dispute arising from a property transaction initiated through the Platform.
7. Offers and Viewings
7.1 Offers
The Platform allows buyers to submit offers to sellers or agents. Submitting an offer through the Platform is an expression of interest and does not constitute a legally binding contract. Any binding agreement for the purchase or lease of a property must be executed through a separate written legal instrument, signed by both parties, and prepared by a qualified legal practitioner.
7.2 Viewing Requests
The Platform allows buyers to request property viewings. Reform Listing facilitates the scheduling of viewings but is not responsible for the conduct, safety, or outcome of any viewing. Users attend viewings at their own risk.
8. Ada AI Voice Assistant
The Platform includes Ada, an AI-powered voice assistant designed to help users search for and explore property listings. By using Ada, you acknowledge and agree that:
- Ada's responses are generated by an AI model and may not always be accurate.
- Ada does not constitute professional real estate, legal, financial, or investment advice.
- Conversations with Ada may be logged, processed, and used to improve the service, subject to our Privacy Policy.
- Ada's property suggestions and recommendations are based on available listing data and should not be relied upon as the sole basis for any property decision.
9. Subscriptions and Paid Services
9.1 Seller Subscriptions
Sellers and agents may subscribe to a paid plan to access enhanced listing and analytics features. Subscription fees are charged monthly via Paystack. Available plans and prices are listed at reformlisting.com and are subject to change with prior notice.
9.2 Additional Services
The Platform offers optional paid services including listing boosts, professional photography, and site visits. Pricing for each service is listed on the Platform.
9.3 Payments
All payments are processed by Paystack, a third-party payment processor. By making a payment on the Platform, you also agree to Paystack's terms and conditions. Reform Listing does not store your card details.
9.4 Refunds
Subscription fees are non-refundable once a billing cycle has commenced. For additional services, refunds may be issued at Reform Listing's sole discretion where a service has not been initiated or delivered. Disputes must be raised within 7 days of payment by contacting josephogiku96@gmail.com.
9.5 Free Plan and Beta Period
Certain features of the Platform are available free of charge during an introductory period. Reform Listing reserves the right to modify or end the free period at any time with reasonable notice.
10. Reviews
Users who have interacted with an agent through the Platform may leave a review and rating. By submitting a review, you confirm that the review is based on your genuine experience and the content is factual and not defamatory, abusive, or fraudulent.
Reform Listing reserves the right to remove any review that violates these Terms or appears to be fraudulent, without notice.
11. Intellectual Property
All content on the Platform — including but not limited to the Reform Listing name, logo, design, text, software, and data — is owned by or licensed to Reform Listing and protected under applicable Nigerian and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any Platform content without prior written consent from Reform Listing.
You retain ownership of content you submit (such as listing photos and descriptions) but grant Reform Listing a non-exclusive, royalty-free, worldwide licence to display, store, and use that content for the purposes of operating the Platform.
12. Disclaimers
The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Reform Listing disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Reform Listing does not warrant that the Platform will be uninterrupted, error-free, or secure; that any listing information is accurate, complete, or current; or that any property transaction initiated through the Platform will be successfully completed.
13. Limitation of Liability
To the maximum extent permitted by law, Reform Listing and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the Platform or any property transaction facilitated through it. In no event shall Reform Listing's total liability to you for all claims exceed the amount you paid to Reform Listing in the three (3) months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Reform Listing, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Platform, your violation of these Terms, or your violation of any rights of another party.
15. Third-Party Links and Services
The Platform may contain links to third-party websites or services. Reform Listing does not control and is not responsible for the content, privacy practices, or terms of any third-party service. Use of third-party services is at your own risk.
16. Termination
Reform Listing may suspend or terminate your access to the Platform at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will continue to apply.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of the Platform shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to the jurisdiction of the courts of Lagos State, Nigeria.
18. Changes to These Terms
Reform Listing reserves the right to update these Terms at any time. Where changes are material, we will notify you via email or a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
